6.2 Representations of the Developer. The Developer hereby represents and warrants that the <br /> Developer has full lawful power to execute and deliver and perform the terms and obligations of this <br /> Agreement and all of the foregoing has been duly and validly authorized by all necessary corporate <br /> proceedings.
