.,� <br /> . . 6� <br /> PART 2 <br /> GENERAL PROVISIONS <br /> A. Changes. If any circumstance or condition in this Agreement changes, GOVERNMENTAL <br /> Bo�Y must notify the DEPa,RTnnEtvT in writing within seven days. <br /> B. Compliance/Governing Law. The terms of this Agreement shall be construed in <br /> accordance with the laws of the State of Illinois. Any obligations and services performed under <br /> this Agreement shall be performed in compliance with all applicable state and federal laws. <br /> C. Non-Appropriation. This Agreement is subject to termination and cancellation in any <br /> year for which the General Assembly or the United States Congress fails to make an appropriation <br /> to make payments under the terms of the Agreement. <br /> D. Records Inspection. The DEPaRTnnENT or a designated representative shall have access <br /> t0 GOVERNMENTAL BODY's work and applicable records whenever it is in preparation or progress, <br /> and the GovERNMENTA�BooY shall provide for such access and inspection. <br /> E. Records Preservation. Th@ GOVERNMENTAL BODY, shall maintain for a minimum of three <br /> years after the completion of the Agreement, adequate books, records and supporting documents <br /> to verify the amounts, recipients and uses of all disbursements of funds passing in conjunction <br /> with the Agreement. <br /> F. Subcontracting/Selection ProcedureslEmployment of Department Personnel. <br /> Subcontracting, assignment or transfer of all or part of the interests of the GovERrvMErvTA� Bo�Y <br /> concerning any of the obligations covered by this Agreement is prohibited without prior written <br /> COt1S2flt Of th@ DEPARTMENT. <br /> Competitive selection procedures shall be used to procure services or materials from any private <br /> or non-governmental entity having a total value of more than $10,000. The Request for Proposal <br /> shall be publicized, proposals shall be solicited from an adequate number of qualified sources, <br /> negotiations are normally conducted with more than one source, and a cost reimbursement <br /> contract shall be awarded based on a technical evaluation of the proposals received. Award may <br /> be made to the responsible offeror whose proposal will be most advantageous to the procuring <br /> party, price and other factors considered. Unsuccessful offerors should be notified promptly. The <br /> GOVERNMENTAL BODY shall include a requirement in all contracts with third parties that the <br /> contractor or consultant will comply with the requirements of this Agreement in performing such <br /> contract, and that the contract is subject to the terms and conditions of this Agreement. <br /> GOVERNMENTAL BODY witl not employ any person or persons currently employed by the <br /> DEPaRTnnENT for any work required by the terms of this Agreement. <br /> PART 3 <br /> FEDERALLY FUNDED AGREEMENTS <br /> This Part shall be applicable only to federally funded Agreements. <br /> A. Certification Regarding Lobbying. GOVERNMENTAL Bo�Y certifies compliance with <br /> Section 319 of Public Law 101-102 covering government-wide restrictions on lobbying, which <br /> provides that no federal appropriated funds have been paid or will be paid, by or on behalf of the <br /> GOVERNMENTAI BODY,to any person for influence or attempting to influence an oificer or employee <br /> of any federal agency, a Member of Congress, an officer or employee of Congress or an <br /> employee of a Member of Congress in connection with the awarding of any federal contract, the <br /> making of any federal grant, the making of any federal loan, the entering into of any cooperative <br /> Intergovemmental Agreement(Rev.O1/03) 3 Decatur/IL Tomorrow/CPG 03-19 <br /> Urban Corridor Revitalization <br /> Strategy Phase II <br />
