, � � . . <br /> � ` <br /> AGREEMENT . <br /> This Agreement made by and among the CITY OF DECATUR, ILLINOIS <br /> ("CITY") and the ECONOMIC DEVELOPMENT CORPORATION ("EDC"). <br /> WHEREAS, by Ordinance No. 82-122, as amended, the CITY has established <br /> an Enterprise Zone (the "Zone"), in accordance with 20 ILCS 655/1 et seq. (the Illinois <br /> Enterprise Zone Act, the "Act") and as approved by the Illinois Department of <br /> Commerce and Community Affairs; and, <br /> WHEREAS, the CITY wishes to change the process for the administration of the <br /> Zone, and the EDC is willing to assist the CITY in that effort. <br /> NOW, THEREFORE, the CITY and EDC agree as follows: <br /> 1. The board of the EDC shall be designated as the Enterprise Zone <br /> Management Board, and shall have the following duties and responsibilities: <br /> (a) establish, monitor and update goals and objectives for the <br /> Zone; <br /> (b) develop and implement a marketing program to inform <br /> businesses about the Zone and its benefits; <br /> (c) coordinate Zone activities with various other planning, <br /> economic development and community development entities in the <br /> area; and <br /> (d) provide direction and assistance to the Enterprise Zone <br /> Administrator in the performance of his duties. <br /> 2. Members of the Er�terprise Zone Manag�ment Board shall servs without <br /> compensation, and are neither employees nor agents of the CITY and are without <br /> authority to make agreements or commitments on behalf of the CITY. <br /> 3. This agreement may be terminated by any party hereto, with respect to any <br /> other party hereto, by the service on said other party of a notice of termination. Such <br /> notice must be in writing and shall be effective fourteen (14) days after service on such <br /> other party. Said notice shall be considered served when personally delivered to the <br /> office of the City Clerk and addressed to said officer (for the CITY) or to the office of the <br /> Executive Director of the EDC and addressed to said officer (for the EDC) or shall be <br /> considered served on the date of mailing to such other party, postage prepaid, at the <br /> following addresses: <br />
