. � ' , <br /> AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR,IL <br /> AND <br /> MULTISYSTEMS,INC. <br /> THIS AGREEMENT, entered into this � day of /.�L�� (%L , 2002, by <br /> and between THE CITY OF DECATUR, IL (hereinafter referred to as the "City") and <br /> MiJLTISYSTEMS, Inc., a Massachusetts corporation with main offices located at 10 Fawcett <br /> Street, Cambridge, MA 01038 (hereinafter referred to as "Contractor"). <br /> WHEREAS, the City is seeking professional transportation planning services for a <br /> comprehensive review of its Americans with Disabilities Act (ADA) complementary paratransit <br /> services and issued a Request for Proposals(RFP) for such services; and <br /> WHEREAS, the Contractor submitted a proposal dated October 11, 2002, and was selected as <br /> the successful respondent to provide the desired services; <br /> NOW, THEREFORE,the parties hereto agree as follows: <br /> 1. SCOPE OF CONTRACTOR'S SERVICES <br /> The Contractor shall perform for the City the technical services described in Appendix A, <br /> "Scope of Work,"which is attached to and made a part of this Agreement. ', <br /> 2. PERSONNEL <br /> All services provided by the Contractor under this Agreement shall be performed by fully <br /> qualified and experienced personnel employed by the Contractor, as specified in Exhibit E: "List <br /> of Key Personnel", in its Proposal dated October 11, 2002, (which is incorporated into this <br /> Agreement by reference). If one or more personnel are unable to complete the assignments, <br /> personnel replacing them must possess comparable education, training and experience.
