shall be supported by a statement of costs incurred by the Contractor in accordance with this <br /> Agreement, itemized by hours worked by individual and other direct expenses. <br /> The Contractor shall be subject to audit, inspections, approvals, and other determinations of the <br /> City and others respecting direct and indirect costs, and the allowability thereof, and, at the <br /> request of the City, the Contractor shall make available to the City at all reasonable times the <br /> pertinent records of its office for such purpose. <br /> The Contractor shall be obligated to complete the services described herein. The Contractor <br /> shall not be required to perform services beyond those described without an increase in the stated <br /> contract cost. In the event of substantial changes in the tasks, objectives or character of work <br /> described herein, the total compensation sha11 be adjusted only by mutual agreement of the City <br /> and the Contractor. <br /> 7. INSPECTION <br />� All work performed by Contractor shall be subject to the inspection and approval of the City at <br /> all times, but such approval shall not relieve Contractor of responsibility for the proper <br /> performance of the work. Contractor shall provide sufficient, safe, and proper facilities at all <br /> times for such inspection of the work, and shall furnish all information concerning the work, and <br /> grant the City's authorized representatives free access at all reasonable times to Contractor <br /> facilities where the work under this Agreement is performed. li <br /> 8. AUDIT AND INSPECTION OF RECORDS II <br /> At the request of the City, the Contractor shall make available all data and records of the <br /> Contractor and its subcontractors relating to their performance under this Agreement. The <br /> Contractor shall make these records available at reasonable times during the Agreement period <br /> and for at least three (3) years from the date of final payment. In the event that such audit results <br /> in a determination by the City that costs claimed by the Contractor are not allowable, the <br /> Contractor shall refund the City an amount equal to all such unallowable costs. <br /> Decatur Public Transit System 3 Paratransit Planning Study Agreement <br />
