5. The CITY shall exercise its franchise rights to cause private utilities to be relocated, if required, at no expense to the STATE. 6. The CITY agrees to cause its utilities installed on right-of-way after said right-of-way was acquired by the STATE or installed within the limits of a roadway after the said roadway's jurisdiction was assumed by the STATE, to be relocated and/or adjusted, if required, at no expense to the STATE. 7. Upon acceptance by the STATE of the new traffic signal interconnect installations, the 'i financial responsibility for maintenance and electrical energy for the operation of the ' traffic signal interconnect systems shall be proportioned as follows: I Intersection Maintenance Elect. Enerqv US 36 Interconnect from West Eldorado STATE Share 64% 64% to Martin Luther King, Jr. Dr. CITY Share 36% 36% US 36 Interconnect from East Eldorado STATE Share 68% 68% (FAP 741)to Wood St. and IL 105 (22 Street) Interconnect from Eldorado to CITY Share 32% 32% US 36 It is mutually agreed that the actual traffic signal maintenance will be performed by the CITY, either with its own forces or through an ongoing contractual agreement. Upon acceptance by the STATE of the new traffic signal interconnect installations included herein, the responsibility for maintenance and energy outlined above shall become a part of the Master Agreement executed by the State and the CITY on July 6, 2001. 8. Upon acceptance by the STATE of the work proposed herein on existing signals, the responsibility for maintenance and energy shall continue to be as outlined in the aforementioned Master Agreement. 9. The CITY agrees to provide written approval of that portion of the plans and specifications relative to the CITY financial and maintenance obligations described herein, prior to the STATE's advertising for the aforedescribed proposed improvement. 10. Obligations of the STATE and CITY will cease immediately without penalty or further payment being required if, in any fiscal year, the Illinois General Assembly or Federal funding source fails to appropriate or otherwise make available funds for this contract. ' 11. This AGREEMENT and the covenants contained herein shall be null and void in the event the contract covering the construction work contemplated herein is not awarded within the three years subsequent to execution of the agreement. -3-
