13.12 Successors. Subject to Section 13.3 hereof, the terms, covenants, agreements, <br /> provisions, and conditions contained herein shall bind and inure to the benefit of the parties hereto, <br /> their successors and assigns. <br /> 13.13 Certain Approvals. Unless otherwise stated, all approvals or consents required of <br /> either party hereunder shall not be unreasonably withheld, conditioned or delayed. <br /> 13.14 References to this Agreement. All references to this Agreement shall include all <br /> documents, exhibits and Recitals or incorporated by reference. If there is any ambiguity or conflict <br /> between or among any two or more of these,or internally in any one of the Proj ect Documents,if the <br /> ambiguity or conflict arises from the use of development funds,the resolution of the ambiguity shall <br /> be consistent with DHA's obligations and commitments to HUD. <br /> 13.15 Headings. The headings in this Agreement are inserted for convenience only and <br /> shall not be used to define, limit or describe the scope of this Agreement or any of the obligations <br /> herein. �I <br /> 13.16 Construction. Whenever in this Agreement a pronoun is used,it shall be construed ', <br /> to represent either the singular or the plural, either the masculine or the feminine, as the case shall ' <br /> demand. ' <br /> 13.17 Execution. The undersigned individuals represent and warrant that they are expressly <br /> and duly authorized by their respective entities or agencies to execute this Agreement and to legally <br /> bind their respective entities or agencies as set forth in this Agreement. <br /> 13.18 No Limitation of City's Rights or Obligations. Notwithstanding anything which ' <br /> may be construed to the contrary in this Agreement,the inclusion of the City as a Party hereto shall <br /> not limit in any way the City's police powers or any governmental or quasi-governmental or agency <br /> which is controlled by the City, either directly or indirectly, or the entitlement to perform their <br /> services and obligations in accordance with their internal procedures, their approval rights or any <br /> other protection function assigned to them. <br /> 13.19 Waiver by City. Notwithstanding anything to the contrary in this Agreement,which <br /> expressly entitles the City to approve an action, document, site plans, etc. (other than any matter <br /> which pertains to,directly or indirectly,the Public Infrastructure Improvements),the City may waive <br /> its rights of approval and/or its rights to review.
