progress to accomplish services within the Schedule of Work described in the <br /> attached Proposal. Consultant shall make every effort to meet reasonable deadlines <br /> and intermittent needs of the Client. <br /> ARTICLE 5 DESIGNATION OF REPRESENTATIVE <br /> Client shall designate an individual contact person with whom the Consultant will <br /> regularly communicate during the course of the project. <br /> ARTICLE 6 FEES AND PAYMENTS <br /> Client agrees to pay Consultant as follows: <br /> A. The total cost of the proposed services, not exceed $12,300.00. <br /> B. Fees will be based on actual hours spent working on the project at the following <br /> hourly rates: <br /> Consultation and Meetings with and on behalf of Clients $ 60.00 <br /> Planning and Design $ 50.00 <br /> Drafting and Office Services $ 30.00 <br /> C. Direct project costs including printing, legal advertising, materials testing will be <br /> charged at the actual rate. Telecommunications will not charged unless excess costs I <br /> are incurred at the direction of the Client. � <br /> D. Consultant shall submit pay requests periodically, but not more often than once a I <br /> month, for work completed. Payment is due within 30 days. Late payments will be � <br /> charged interest at the rate of 1% per month. i <br /> ARTICLE 7 ADDITIONAL SERVICES <br /> Any work beyond that outlined in ARTICLE 2 shall have the written authorization of <br /> the Client before commencement and shall be billed and paid according to the terms of <br /> Article 6. <br /> ARTICLE 8 CONTRACT TERMINATION <br /> A. This agreement may be terminated by either party with seven days written notice in <br /> the event of substantial failure of the other party to perform in accordance with the <br /> terms of the agreement. <br /> B. If terminated, Client agrees to pay Consultant for all services rendered and <br /> reimbursable expenses incurred to the date of termination. <br /> C. If terminated, Consultant shall have no liability as a result of termination. <br /> ARTICLE 9 DISPUTE RESOLUTION <br /> A. Client and Consultant agree to mediate claims or disputes arising out of or relating to <br /> the Agreement as a condition precedent to litigation. The mediation shall be <br /> conducted by a service acceptable to both parties. A demand for mediation shall be <br /> made within a reasonable time after a claim or dispute arises and the parties agree to <br /> mediate in good faith. Mediation fees shall be shared equally. In no event shall any <br /> demand for mediation be made after such a claim or dispute would be barred by law. <br /> ARTICLE 10 OWNERSHIP OF DOCUMENTS <br /> A. All instruments of professional service prepared by the Consultant including drawings <br /> and specifications are the property of the Consultant and shall not be reused on other <br /> projects without the Consultant's written permission. <br /> B. Consultant has the right to include representations of the Project in its promotion and <br /> professional materials. <br /> ARTICLE 11 ENTIRE AGREEMENT AND SEVERABILITY <br /> A. This Agreement is the entire and integrated agreement between Client and Consultant <br />
