-2- <br /> Property Owner, or the Ciry of Decatur, or an agent of either, may, at any time upon <br /> giving IEP thirty (30) days prior notice, prepay Property Owner's obligations without <br /> penalty to Property Owner, together with any other amounts due. Such payment shall <br /> terminate the Payment Period together with Property Owner's obligations under this <br /> Agreement. IEP's obligations shall continue for the Term of this Agreement. <br /> 4. Assignment and Sublease. IEP may, at any time, assign, transfer, or <br /> otherwise convey all or part of its interest in this Agreement, inc(uding IEP's rights to <br /> receive any payments hereunder and IEP's right to enforce any part of this Agreement. 'I <br /> Properry Owner may not assign, transfer, or otherwise convey any of its rights or duties ! <br /> under the Agreement during the Payment Period without the express written consent of , <br /> IEP, which consent shall not be unreasonably withheld, except that the Properry Owner <br /> may assign, transfer or convey its interest in the Agreement to a bona fide purchaser of the I <br /> Real Estate. � <br /> 5. Default. I <br /> A. The followin events shall constitute Pro e Owner Events of Default 'I <br /> g P rtY <br /> under this Agreement: <br /> (i) Failure of the Property Owner to pay the full amount of any payment when <br /> due. <br /> (ii) Failure of the Property Owner to comply with any covenant contained in this <br /> Agreement within thirry (30) days after receipt of written notice of such <br /> failure from IEP. <br /> (iii) The institution by the Property Owner, or any entiry which controls the <br /> Properry Owner, of proceedings of bankruptcy, insolvency, or the <br /> appointment of a receiver or similar official for the Property Owner or the <br /> Real Estate during the Payment Period. <br /> (iv) Any assignment, sale, or attempted assignment or sale of the Agreement <br /> during the Payment Period, except as permitted above. <br />
