direct defense of such suit and are not unreasonable. The indemnification and waiver provided in�- <br /> this section shall be enforceable solely by the City, and shall not operate as an indemnification or <br /> waiver as to any third party. <br /> Section I1. No Automatic Renewal. Holdover Fees. This ten (10) year license is not <br /> automatically renewable and any request for authority for the continued maintenance and use of <br /> the public ways as herein described after this Agreement expires or its otherwise terminated in <br /> any manner much be specifically obtain from the City Council subject to the terms and <br /> conditions that may be agreed upon at that time. Renewal authority shall be requested by the <br /> Grantee not less than ninety(90) days prior to the expiration of this Agreement. <br /> Section 12. Termination. This Agreement may be terminated by the City, if after at least <br /> twenty-one (21) days written notice to the Grantee, the Grantee fails to remedy an alleged breach <br /> of the Agreement specified in such notice. If the alleged breach is incapable of being remedied <br /> within said twenty-one (21) days, this Agreement may be terminated unless the Grantee has <br /> taken substantial steps to remedy the alleged breach within said twenty-one (21) days and <br /> notified the City of such steps. <br /> Section 13. Applicable Law. This Agreement is subject to all applicable federal,:state <br /> and local laws, regulations and orders of governmental agencies as amended, including but not <br /> limited to, the Communications Act of 1934, as amended by the Telecommunication Act of <br /> 1996. Pub. L. No. 104-104 § 101(a), 110 Stat. 70 codified at 47 U.S.C., and all orders, rules, <br /> tariffs and regulations issued by the Federal Communications Commission or the governing State <br /> authority pursuant thereto, as well as all other applicable State,Federal or local law ("Law"). <br /> If during the term of this Agreement the City enacts an ordinance regulating the use of <br /> rights of way in the City, requiring compensation, and collects right-of-way fees from all <br /> 142606_1.DOC <br />
