ARTICLE 19 - INTEGRATION <br /> This Agreement represents the entire and integrated agreement between Owner and Engineer. It <br /> supersedes all prior and contemporaneous communications, representations, and agreements, <br /> whether oral or written, relating to the subject matter of this Agreement. This Agreement may <br /> only be modified by a written amendment executed by both parties. <br /> ARTICLE 20 - SUCCESSORS AND ASSIGNS <br /> Owner and Engineer each binds itself and its directors, officers, partners, successors, executors, <br /> administrators, assigns, and legal representatives to the other party to this Agreement and to the <br /> directors, officers, partners, successors, executors, administrators, assigns, and legal <br /> representatives of such other party in respect to all provisions of this Agreement. <br /> ARTICLE 21 -ASSIGNMENT <br /> Neither Owner nor Engineer shall assign any rights or duties under this Agreement without the <br /> prior written consent of the other party, except that Engineer may do so to any of its related, <br /> affiliated, or successor entities upon written notice to Owner of same. Unless otherwise stated in <br /> the written consent to an assignment, no assignment will release or discharge the assignor from <br /> any obligation under this Agreement. Nothing contained in this Article shall prevent Engineer <br /> from employing independent consultants, associates, and subcontractors to assist in the <br /> performance of the Services. <br /> ARTICLE 22 -THIRD PARTY RIGHTS <br /> Nothing in this Agreement shall be construed to give any rights or benefits to anyone other than <br /> Owner and Engineer. <br /> ARTICLE 23—EQUAL EMPLOYMENT OPPORTUNITIES <br /> Engineer, its agents, employees, contractors, and subcontractors shall not hire, discharge, <br /> promote, demote or otherwise discriminate in matters of compensation, terms, conditions or <br /> privileges of employment against any person otherwise qualified solely because of race, creed, <br /> sex, national origin ancestry,physical or mental disability, color or age. <br /> 10 <br /> SLW:DccaWdCily of DccaWr Agrccmcnl <br /> 901(M.94R5 <br /> 4/3/(Il <br />
