Basic Terms Form C (7/00) <br /> Grant Agreement <br /> BASIC GRA�1T �'ERMS <br /> I. Apalicable Law: This grant agreement shall be governed in all respects by the laws of the <br /> State of Il(inois. [f any provision of this grant agreement is in conflict with any statute, law, <br /> rule or regulation of any governmental entity, then such provision shall be deemed null and <br /> void only to the extent of said conflict and without invalidating the remaining provisions <br /> hereot' � <br /> ?. Subcontractor: The Grantee will not utilize the services of a subcontractor to fulfili any <br /> obli�ations under this �rant agreement without the prior written consent of the Department. <br /> The Department reserves the ri�ht to revie�v all subcontracts. <br /> ; .audit Requirements: <br /> �. ! Local vovernments and Non-Profit Or�anizations: The Grantee is responsible for <br /> meetin�; the audit requirements of the Fiscal Control and [nternal Auditing Act and <br /> tor compiiance with O��IB Circular A-133 to contract with an independent accounting <br /> tirm �o pertorm an organization-wide audit. The Grantee �vil! provide a copy of the <br /> audit tc� tf�e Department. The Grantee wili maintain complete records of all services, <br /> receipt�, and disb�irsements relative to this �rant aereement, insofar as such records <br /> support tf�e audit. <br /> ;.� .-�II Grantees: (n addition to other requirements named herein, each Grantee shall <br /> maintain. tor a minimum of� years after the completion of this �rant agreement, <br /> adequate books, records,and supportine documents to verify the amounts,recipients, <br /> and uses of all disbursements of funds passing in conjunction with this grant <br /> a�,reement; this �rant agreement and all books, records, and supporting documents <br /> related to the s:rant shall be available for review and audit by the Department or the <br /> �uditor General; and the Grantee a¢rees to cooperate fully�vith any audit conducted <br /> bv the Department or the Auditor General and to provide full access to all relevant <br /> materials. Failure to maintain the books,records, and supporting documents required <br /> bv this Section shall estabiish a presumption in favor of the Department for the <br /> recovery of any funds paid bv the Department under the grant agreement for which <br /> adequate books,,records. and supporting documentation are not available to support <br /> their purported disbursement. <br /> -� Conditions: Conditions oti this¢rant a¢reement, ifany,are attached hereto and incorporated <br /> herein as .�+ppendix A. No payment shall be made by the Department to the Grantee until all <br /> conditiuns specitied in Appendi� A have been satisfied. <br /> S Work Product: All intellect�ial property and ail documents, including reports and all other . <br /> work products, produced bv the Grantee under this grant aereement shall become and remain <br /> the exclusive property oti the Department, and shall not be copyrighted, patented, or <br /> trademark re�istered by the Grantee except as authorized by the Department in a <br /> separate contract. <br />\ <br />
