. , 7 t ORDINANCE NO. 2003-08 An Ordinance granting the consent of the City of Decatur, Illinois to the partial assignment of a franchise by Illinois Power Company, an Illinois corporation, to Illinois Electric Transmission Company, LLC, a Delaware limited liability company. WHEREAS, by Ordinance No. 3590 approved by the Council of the City of Decatur, Illinois on August 8, 1960, Illinois Power Company, an Illinois corporation hereinafter referred to as "Illinois Power", was granted the right, permission and authority to construct, maintain and operate in the City of Decatur, County of Macon, State of Illinois, hereinafter referred to as "Municipality", a system for the manufacture, transmission, distribution and sale of electric energy for lighting, heating and power purposes within the corporate limits of the Municipality as then established or as thereafter extended, such Ordinance being hereinafter referred to as the "Franchise"; WHEREAS, Illinois Power has entered into an Asset Purchase Agreement, dated October 7, 2002, with Illinois Electric Transmission Company, LLC, a Delaware limited liability company, ' hereinafter referred to as IETC, whereby Illinois Power will sell, and IETC will purchase all of the facilities of Illinois Power, located within such corporate limits and elsewhere, for the transmission of electric energy, such agreement being hereinafter referred to as the`f�greemenY';
