� { <br /> 3. Section 8 of the Franchise shall be partially assigned by Illinois Power to IETC to the <br /> extent of the transmission facilities sold and purchased pursuant to the Agreement for <br /> the remainder of the term of fifty (50) years of the Franchise following acceptance of <br /> this Ordinance as hereinafter provided. <br /> 4. Sections 11 and 13 of the Franchise shall be partially assigned by Illinois Power to <br /> IETC to the extent of the transmission facilities sold and purchased pursuant to the <br /> Agreement and, for purposes of such sections, IETC shall be deemed the Grantee with <br /> respect to rights granted and obligations assumed pursuant to such sections with <br /> respect to such transmission facilities, provided that nothing contained in the <br /> Franchise, this Ordinance or the partial assignment shall be construed to create an <br /> association, trust, partnership, or joint venture or to impose a trust or partnership <br /> duty, obligation or liability or agency relationship on or with regard to Municipality, <br /> Illinois Power and IETC, or any of them, and each of Municipality, Illinois Power and <br /> IETC shall be individually and severally liable for its own obligations under the <br /> Franchise, this Ordinance and the partial assignment. <br /> 5. Section 12 shall not be assigned provided that after the passage and approval of this <br /> Ordinance and within one hundred and twenty (120) days after such approval, this <br /> Ordinance shall be accepted by both Illinois Power and IETC by their filing with the <br /> . Clerk of the Municipality,their unconditional written acceptances thereof. <br /> 6. The partial assignment of the Franchise under the tern�s and conditions of this <br /> Ordinance shall become effective upon the latter of(i) the closing of the sale of the <br /> transmission facilities by Illinois Power to IETC as set forth in the Agreement or (u) <br /> the filing of the unconditional written acceptances as set forth above.
