C. Serving as a transportation improvement project manager to assist in project ' prioritization, development and evaluation of funding and financing alternatives and procurement assistance for financial advisors as needed. 2. COSTS. The ALSA Agreement shall be negotiated for a maximum annual retainer of Sixty Thousand Dollars($60,000.00). The County agrees to reimburse the City for one-half of the retainer pursuant to this Agreement. The County agrees to pay its half within thirty(30)days from the acceptance of this Agreement by both the City and the County and acceptance of the ALSA Agreement by the parties. 3. EXTRAORDINARY COSTS. The City and County recognize that the retainer amount set forth above includes ordinary costs and expenses. If extraordinary costs and expenses need to be incurred and are approved pursuant to the terms of the ALSA Agreement,the County shall reimburse the City for one-half of those extraordinary costs and expenses subject to the City first providing written notice to the County of the proposed extraordinary costs and expenses and the County's approval of said costs and expenses. 4. TERMS. This Agreement shall be effective as of the date it is entered into and shall continue in full force�and effect for one (1)year with an additional one(1)year automatic renewal period. 5. TERMINATION. This Agreement shall terminate if the ALSA Agreement between the City and ALSA is not entered into or is terminated pursuant to the terms of the ALSA Agreement.This Agreement may be terminated by either party by providing thirty(30) days written notice to the other party of its intent to terminate. Any monies paid by either party pursuant to the Agreement up to the date of termination shall be non-refundable. 6. RELEASE. To the extent permitted by law,each party hereto does hereby fully and forever release and discharge the other parties,and the County and Board members, employees,officers and agents of same, in both individual and official capacities,from any and all claims,demands, damages, rights of action or causes of action,present or future,whether due to negligence or otherwise,resulting from or arising out of the compliance, or attempted compliance,by same with the terms and provisions hereof.
