In the event said notice is mailed, the date of service of such notice shall be deemed to be two (2) business days after the date of delivery of said notice to tlie United States Post Office. 15.6 Severability. If any provision of this Agreement is held to be invalid, the remainder of this Agreement shall not be affected thereby. 15.7 Memorandum of Agreement. At either party's request, the parties shall execute and record a Memorandum of Agreement with respect to the Project and the Project Site in the form attached as EXHIBIT 5. 15.8 Further Assistance and Corrective Instruments. The City and the Redeveloper agree that they will, from time to time, execute, acknowledge and deliver, or cause to be executed, acknowledged and delivered, such supplements hereto and such further instruments as may reasonably be required by the parties hereto for carrying out the intention of or facilitating the performance of this Agreement. 15.9 Amendment. This Agreement, and any exhibits attached hereto, may be amended ' only by the mutual consent of the parties evidenced by a written amendment, by the ,, adoption of an ordinance or resolution of the City approving said written amendment, I as provided by law, and by the execution of said written amendment by the parties or ! their successors in interest. 15.10 Waiver. Any party to this Agreement may elect to waive any remedy it may enjoy hereunder, provided that no such waiver shall be deemed to exist unless the party waiving such right or remedy does so in writing. No such waiver shall obligate such party to waive any rights or remedy hereunder, or shall be deemed to constitute a waiver of other rights and remedies provided said party pursuant to this Agreement. 15.11 Illinois Law. This Agreement shall be construed in accordance with the laws of the State of Illinois. 15.12 No Joint Venture, Agency, or Partnership Created. Neither anything in this Agreement nor any acts of the parties to this Agreement shall be construed by the parties or any third person to create the relationship of the partnership, agency, or joint venture between or among such parties.
