, <br /> , , <br /> Section 11. Sale of Notes; Note Order. The Designated Officials are hereby authorized <br /> to proceed, without any further authorization or direction whatsoever from the Corporate <br /> Authorities,to sell and deliver the Notes upon the terms as prescribed in this Section. <br /> The Notes shall be sold and delivered from time to time, as may be, to the Bank at the <br /> price of not less than the par value of the principal amount thereo£ Nothing in this Section shall <br /> require the Designated Officials to sell or deliver the Notes if, in their judgment, the conditions <br /> in t�e bond markets shall have markedly deteriorated from the time of adoption thereof, but the <br /> Designated Officials shall have the authority to sell the Notes in any event so long as the <br /> limitations set forth in this Ordinance and the conditions of this Section shall have been met. <br /> Upon the sale of the Notes, the Designated Officials and any other officers of the City as <br /> shall be appropriate, shall be and are hereby authorized and directed to approve or execute, or <br /> both, such documents of sale of the Notes as may be necessary, including, without limitation, the <br /> Note Order, a Note Purchase Contract (as hereinafter defined) and closing documents. Prior to <br /> the execution and delivery of any such Note Purchase Contract, the Designated Officials shall <br /> find and determine that no person holding any office of the City either by election or <br /> appointment, is in any manner financially interested directly or in his own name or indirectly in 'i <br /> the name of any other person, association, trust or corporation in the Note Purchase Contract <br /> with the Bank for the purchase of the Notes. <br /> A Contract of Purchase for the purchase and sale of the Notes from time to time to the <br /> Bank, substantially in the form as attached hereto as Exhibit A (the "Note Purchase Contract"), <br /> conforming to the terms of this Ordinance and otherwise as approved by the Designated <br /> Officials, is hereby in all respects authorized and approved, and such officers of the City as may <br /> be called for therein are authorized to execute same. <br /> -16- <br />
