AGREEMENT <br /> BY AND BETWEEN <br /> THE MACON COUNTY SHERIFF, <br /> THE CITY OF DECATUR, ILLINOIS <br /> AND <br /> THE MT. ZION POLICE DEPARTMENT <br /> REGARDING THE SUNGUARD INTERFACE FOR THE DIGITICKET ELECTRONIC <br /> TICKETING SOLUTION SOFTWAR BY SALTUS TECHNOLOGIES <br /> This Agreement("Agreement")is made between the City of Decatur ("Decatur"),the Macon <br /> County Sheriff("Sheriff')and the Mt. Zion Police Department("Mt. Zion")(collectively,the <br /> "Parties)to provide for the purchase of a SunGard interface,which will allow for the importing <br /> of digital citations from the digiTicket electronic ticketing solution software by Saltus <br /> Technologies. <br /> WHEREAS, Decatur, the Sheriff and Mt. Zion are empowered under the laws of the State of <br /> Illinois and under the rules of their governing bodies to enter into contracts to the extent that said <br /> contracts do not exceed amounts appropriated therefore by their respective governing bodies. <br /> NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants and <br /> promises contained herein,the sufficiency of which is hereby acknowledged,the Parties do <br /> hereby agree as follows: <br /> 1. Decatur will purchase the SunGard interface,which will allow all Parties to import <br /> citation data from the electronic ticketing software into the RMS system that is in use by <br /> the Parties. <br /> 2. Decatur will receive and pay the invoice from SunGard for the interface,project <br /> management, and installation of the software/hardware. <br /> 3. Mt. Zion agrees to pay Decatur 5°/a of the final bill from SunGard for the interface, <br /> project management, and installation of the software/hardware. <br /> 4. T'he Sheriff agrees to pay Decatur 25%of the final bill from SunGard for the interface, <br /> project management, and installation of the soflware/hardware. <br /> 5. Decatur will invoice the Sheriff and Mt. Zion for the SunGuard interface agreement's <br /> recurring annual fees in accordance with the original October 2011 agreement between <br /> the Parties regarding the SunGard software, specifically Section 3. <br /> 6. The Parties agree that any of the Parties may terminate its participation in this <br /> Agreement. The Parties understand and agree that if any party wishes to terminate its <br /> participation, it shall provide written notice to the other Parties no less than 30 days prior <br /> to the effective date of such termination. Further, the Parties understand and agree that <br /> any monies paid by the terminating party pursuant to this Agreement prior to the date of <br /> termination shall not be refundable. <br /> 7. This Agreement may only be amended in writing signed by all Parties. <br />
