', , <br /> � � <br /> (i) That the City shall permit ADM's counsel, accountants, and other <br /> representatives reasonable access, at the convenience of the City, <br /> during normal business hours throughout the period prior to the <br /> Closing Date, to all properties to be conveyed to ADM; <br /> construction, maintenance and operation contracts; engineering <br /> plans and records; and operating records; <br /> (j) If, before Closing, ADM is not reasonably satisfied in any respect <br /> that the assets to be sold are not as represented, ADM shall have <br /> the right to terminate this Agreement, in its sole discretion; which <br /> right shall be in addition to any other right ADM has under this <br /> Agreement; <br /> (k) To the best of the City's knowledge, during its ownership of the <br /> real estate described on Exhibit B ("Site"), (i) no Hazardous <br /> Materials (as defined below) have been located by the City in or on <br /> the Site or have been released by the City into the environment, or <br /> discharged, placed ar disposed of by the City at, on, or under the <br /> Site; and to the best of the City's knowledge, no Hazardous <br /> Materials have been so located, released or discharged, placed or ' <br /> disposed of by any party other than as described in Exhibit F �'� <br /> attached hereto and made a part hereof; (ii) to the best of the City's <br /> knowledge, no underground storage tanks are or have been located <br /> in or on the Site; (iii) to the best of the City's knowledge, the Site <br /> has not been used as a dump for waste material; (iv) to the best of <br /> the City's knowledge, the Site and its uses comply with, and at all <br /> times have complied with, any applicable governmental law, <br /> regulation or requirement relating to environmental and <br /> -12- <br />
