, � • � <br /> RAW WATER SL�PPLY AGREEi�IEtiT <br /> THIS AGREEMENT made and entered into as of the day of , 1998, by and <br /> between the CITY OF DECATUR, an Illinois municipal corporation located in the County of . j <br /> Macon, Illinois (hereinafter sometimes called the "City") and ARCHER-DAIv�LS-MIDLAND li <br /> COMPANY, a Delaware corporation (hereinafrer sometimes called "ADM"), ��I <br /> WITNESSETH: <br /> WHEREAS, the City and ADM have entered into an Agreement ("Acquisition <br /> Aa eement") dated , 1998, under which the City will sell and convey to ADM the <br /> Ciry's water intake and treatment faciliry commonly referred to as the Ciry's "North Plant"; and <br /> WHEREAS, ADM is desirous of purchasing from the Ciry, and the City is willin� to sell <br /> to ADM, a raw water supply from Lake Decatur, which the Ciry owns, for all of the North Plant <br /> requirements upon its acquisition by ADM. <br /> NOW, THEREFORE, for and in consideration of the mutual covenants hereinafter <br /> contained, and for other aood and valuable consideration, the receipt of which hereby is <br /> acknowledged, the parties hereto agree as follows: <br /> 1. Recitals. The foregoing recitals are accurate and are incorporated as part of this <br /> Agreement. <br /> 2. Raw Water Sqpplv. Upon the acquisition of the North Plant by ADM, the City <br /> shall sell to ADM, and ADM shall purchase, all of ADM's raw water supply requirements for the <br /> North Plant. Except as provided in Paragraph 10 herein and Paragraph 8 of the Acquisition <br /> Agreement, upon ADM's acquisition of the Iv�orth Plant, ADM shall obtain from the North Plant <br /> all of its industrial coolin� and process water requirements for its East and West plants and for <br /> facilities located in Macon County, Illinois, of ADM or any wholly or majority owned subsidiary <br /> 800822.01.13 <br /> 12J16/98 <br /> EXHIBIT G <br />
