The urchase rice to be aid b ADM at Closin for the North <br /> P P P Y <br /> g <br /> Plant property described in paragraph 3 shall be the sum of Twenty Million, Two Hundred <br /> Thousand Dollars ($20,200,000). <br /> 6. Conditions for Use of North Plant. Upon Closing, the following conditions <br /> apply to the use of the North Plant by ADM: <br /> (a) ADM shall use the North Plant solely for the purpose of providing <br /> the industrial cooling and process water requirements of ADM's <br /> East and West Plants and for facilities located in Macon County, <br /> Illinois of ADM or of any wholly or majority owned subsidiary of <br /> ADM except for facilities of any current or former "large user" of <br /> the City's water system, other than ADM, as that term is defined in <br /> Chapter 64 of the City Code, or any subsidiary or affiliate of such <br /> large user. <br /> (b) ADM shall, at its cost, upgrade the North Plant so as to enable it to <br /> produce up to twenty-four (24) MGD of industrial cooling and <br /> process water for ADM's requirements. The design of such <br /> upgrade facilities shall be subject to the City's prior written <br /> approval. <br /> (c) ADM shall obtain all necessary permits and approvals for the <br /> upgrade work referred to in Paragraph 6(b). <br /> (d) ADM shall be solely responsible for the operation and maintenance <br /> of the North Plant.
