Buyer and Seller shall immediately execute in duplicate and exchange <br /> a Memorandum setting forth, at least, the names of Seller, Buyer and Escrow <br /> Agent, the legal description and common address of Premises, the date of this <br /> Agreement, and acknowledgment by Buyer of Buyer's quit claim deed <br /> conveying Premises to Seller and authorizing reliance by third parties upon <br /> said deed, if recorded, as conclusive evidence of the cancellation of this <br /> Agreement and reconveyance of all of Buyer's then interest in the Premises <br /> to Seller. <br /> 16. A defaulting party shall pay all expenses, reasonable attorney fees <br /> and court costs incurred in good faith by the other party in enforcing the <br /> terms of this Agreement. <br /> 17.
