4. WA,RR,ANTIES AND DISCLAIlV�RS <br /> 4.1 Company warrants to Licensee that during the period the License is in <br /> effect (the "Warranty Period"), the Software will perform substantially in accordance <br /> with the published specifications and Documentation. If notified in writing by <br /> Licensee during the Warranty Period, Company will, at its sole option, either (i) <br /> correct program errors in the Software within a reasonable time, not to exceed seven <br /> (7) calendar days; or (ii) accept return of the Software, Deliverables and <br /> Documentation and refund any amount paid by Licensee to Company under the <br /> Agreement. <br /> 4.2 Company warrants to Licensee that the Professional Services set forth, <br /> including the Statement of Work, Exhibit A thereto, will be performed in a <br /> professional manner, consistent with generally accepted industry standards. The <br /> sole and exclusive remedy for a breach of the limited warranty set forth in this <br /> Section 4.2 shall be to require Company to use commercially reasonable efforts to ' <br /> perform the Professional Services as soon as is reasonably practicable, but in no <br /> event later than thirty (30) days from the date Licensee notifies Company of such <br /> breach. In the event Company is unable, after receiving a warranty breach notice <br /> under this Section 42 to perform the Professional Services to the Licensee's <br /> reasonable satisfaction, within the thirty (30) day period, Licensee may terminate <br /> the Agreement and withhold payment to or receive a refund or credit from Company <br /> for the value of such services. <br /> 4.3 TI� FOREGOING WARRAN'1ZES ARE IN LIEU OF ALL OTHER <br /> WARRANZ'IES, EXPRESS OR IlVIPLIED, INCLUDING, BUT NOT LIMITED TO, <br /> TI� IlVIPLIED WARRAN7.'IES OF MERCHANrABILITY, FITNESS FOR A <br /> PARTICULAft PURPOSE, GOOD TITLE, OR STATISFACTORY QUALITY <br /> ftEGAftDLESS OF WHETHEft IlVIPOSED BY CONTRACT, STATUTE, COUI�.SE <br /> OF DEALING, CUSTOM OR USAGE OR OTHERWISE. <br /> 5.
