If University terminates this Agreement,the Sponsor shall pay the University for all direct costs <br /> incurred, and applicable indirect costs, up to and including the effective date of termination. <br /> 13. AMENDMENTS. This Agreement may be amended only by the mutual written agreement of the <br /> parties. <br /> 14. ASSIGNMENTS. This Agreement may not be assigned by either party without the prior written <br /> consent of the other. <br /> 15. GENERAL PROVISIONS. This Agreement is to be governed by and construed in accordance <br /> with the laws of the State of Illinois. <br /> This Agreement embodies the entire understanding of the parties and shall supersede all previous <br /> communications, either verbal or written, between the parties relating to this Agreement. All terms and <br /> conditions of any documents, purchase orders, etc., issued by Sponsor to facilitate payment hereunder are <br /> null and void. <br /> 16. NOTICES.
