and further it will promptly notify the contracting agency and the Department in the event any subcontractor fails or refuses to comply therewith. In addition, the CONSULTANT will not utilize any subcontractor declared by the Illinois Human Rights Commission to be ineligible for contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations. H) The Grantee shall have written sexual harassment policies that shall include, at a minimum, the following information: (i) the illegality of sexual harassment; (ii) the definition of sexual harassment, under State law; (iii) a description of sexual harassment, utilizing examples; (iv) the Grantee's internal complaint process including penalties; (v) the legal recourse, investigative, and complaint process available through the Department of Human Rights and the Human Rights Commission; (vi) directions on how to contact the Department and Commission; and (vii) protection against retaliation as provided by Section 6-101 of the Illinois Human Rights Act. A copy of the policies shall be provided to the Department upon request. 8.4 TITLE VI CNIL RIGHTS ACT OF 1964 All bidders must comply with the regulations relative to nondiscrimination in federally assisted programs as required under Title VI of the Civil Rights Act of 1964, as amended, and Title 47 Code of Federal Regulations (CFR), Part 21, as amended, of the U.S. Department of Transportation. 8.5 COVENANT AGAINST GRATUITIES By signing this Agreement, the CONSULTANT warrants that they have not offered or given gratuities (in the form of entertainment, gifts, or otherwise)to any official or employee of the CITY, with a view toward securing favorable treatment in the award, amendment, or performance evaluation of work done under this Agreement. 9.0 MODIFICATION OF AGREEMENT 9.1 AGREEMENT CHANGES Any proposed change in this Agreement shall be submitted to the CITY for its prior approval and the CITY will make the change by a Agreement modification. The CITY may, at any time,by written order and without notice to the sureties, make changes, within the general scope of this Agreement in one or more of the following: schedules, drawings, designs, or specifications. ' If any such change causes an increase or decrease in the cost or the time required for the performance of any part of the work under this Agreement, an equitable adjustment will be made in the Agreement price, and the Agreement will be modified in writing, accordingly. Any claim by the CONSULTANT for adjustment under this clause must be asserted within thirty (30) days from the date of receipt by the CONSULTANT of the notification of change; provided, however, if the CITY decides that the facts justify such action, the CONSULTANT may receive and act upon any such claim asserted at any time prior to final payment under this Agreement.
