, <br /> +, <br /> , <br /> AGREEMENT <br /> This Agreement made this 215� day of August, 2000, by and between the City of <br /> Decatur, Illinois ("City"), and Blank, Wesselink, Cook & Associates, Inc. ("BWC"). <br /> Whereas, the City wishes to retain planning, consulting, technical and legal assistance <br /> services for ce�tain Phase II Tax Increment Financing (hereinafter "TIF") district projects <br /> pursuant to the provisions of the Tax Increment Allocation Redevelopment Act (65 ILCS 5/11- <br /> 74.4-1 et seq., hereinafter the "Act"), and to utilize the benefits of tax increment allocation <br /> financing therein; and, <br /> Whereas, the City wishes to retain the services of experienced and capable planners, � <br /> engineers and other professionals to assist in the program management and creation of <br /> certain aesthetic, capital and commercial redevelopment projects for said TIF district, as set <br /> out in the Act; and, <br /> Whereas, BWC has submitted a proposal, dated August 3, 2000, to assist the City with <br /> said program management and creation of aforesaid certain projects and the City finds said <br /> proposal acceptable and of benefit to the City. <br /> NOW, THEREFORE, for and in consideration of the premises contained herein, the City <br /> and BWC agree as follows: <br /> 1. In order to perform the various tasks set out herein regarding the program <br /> management and creation of aforesaid certain projects in addition to its own <br /> personnel, BWC will utilize the services of the following professional firms: <br /> Massie and Massie & Associates, Inc. — Springfield, Illinois <br /> Samuels, Miller, Schroeder, Jackson & Sly — Decatur, Illinois <br /> � Evans, Froehlich & Beth — Champaign, Illinois <br /> BWC shall not subcontract any portion of its duties or obligations under this <br /> agreement to any other person, firm or corporation without the approval of the <br /> City Manager. <br /> 2. BWC shall be responsible for the perfo�mance of those tasks and duties listed on <br /> Exhibit 1 hereto under the headings "BWC", "MMA", and "Legal", with regard to <br /> the redevelopment plan for the TIF district. All such tasks shall be completed <br /> within such time limits as are agreed upon by BWC and the City Manager, in <br /> writing, so as to meet all legal requirements. <br /> 3. The City shall pay BWC for work completed at the hourly rates set forth on <br /> Exhibit 2 hereto; provided that, in no event shall the City be liable to BWC for any <br /> sum in excess of Forty-Five Thousand Dollars ($45,000.00) pursuant to this <br /> agreement. BWC shall invoice the City monthly, as stated on said Exhibit 2. <br />
