RELEASE FROM AGREEMENT <br /> If the Company abandc�ns the Project, at atry time before its completion,the Compairy shall <br /> immediately surrender,any and all data or documeats related to the subject matter of this <br /> Agreement, and the City shall be released from any and all further obligation under t3us <br /> Agreement. <br /> SECTION 4. INDEMNIF'ICATION AND INSURANCE � <br /> The Company agrees to hold the City harmless a.gainst, indemnify and provide representation for <br /> the City, its officers, employees and agents, in regard to any lvss rela�ed to any and all causes of <br /> action,claims and demands of wha.tsaever kind and nature, arising dircctly or indirectly from thc <br /> Co�any`s acts of commission or omission in thc perForm�ance or non performance of this <br /> Agreement. <br /> During the entire term of this Agreement, Company sha31 maintain the followin.g insurance: <br /> 1) Professiona.l Liab�ity Insurance, iu the rrin�*rn�*n at�ount of$1,000,000 annual <br /> aggregate;and <br /> 2) Workers'Compensation Insurance, in such amounts as may be required by law; <br /> and <br /> 3) Errors and Omissions Insurance,in the amount of$SOO,OQO to protect the City <br /> from any errors that Com�any or its employee.s may perpetuate in the preparation <br /> of the Project. <br /> Prior to commencement ofthis Agreement, Company shall fiirnish the�ity with such certificates <br /> of insurance. <br /> SF.CTTON 5. RECORDS TO BE MAINTAINED BY THE COMPANY <br /> All cost and expenditures shall be supported by properly executed payrolls,time records, <br /> invoices, contracts,vouchers or other accouuting documents pertaining in whole or in part to this <br /> Agreement and shall be clearly identified and readily accessible to the City. At any tane during <br /> normal business hours and as often as the City ma.y deem necessary,the Company shall make <br /> available to the City all of its records with respect ta all matters covered under this Agreement, <br /> and will permit the City to audit, examine, and make excerpts or transcripts from such records <br /> and to have audits made of all contracts, invoices,maxerials,payrolls,records of personnel, <br /> conditions of employment, and other data pertaining in whole or in part to matters covered by <br /> this project funding agreement. In performing a�+independent audit,the Company shall require <br /> the auditor to comply with all applicabte City rules and regula.tions g�vernmg such procedures. <br /> SECTION 6. NON-DISCRIMIl�TATION <br /> The Company shall not discriminate against any employee or applicaat for employment because <br /> of race, color, religion, sex, ancestry,naxional origin,pla,ce of birth, age,marital status, or <br /> 2 <br />
