s + <br /> If, after serving a notice of termination for default, OWNER determines that ARCHITECT <br /> had an excusable reason for not performing, such as a strike, fire, flood, or other events which <br /> are not the fault of and are beyond the control of ARCHITECT, OWNER, after setting up a new <br /> services work schedule, may allow ARCHITECT to continue services or treat the termination as <br /> a termination for convenience. ' <br /> Defermination of Outstandin_q Fees at Time of Termination I�� <br /> OWNER may terminate this contract, or any portion thereof, by properly delivering a <br /> notice of termination to ARCHITECT. The notice shall state whether the termination is for <br /> convenience of OWNER or for default of ARCHITECT. If the termination is for default, the <br /> notice shall state the manner in which ARCHITECT has failed to perform the requirements of <br /> the contract. ARCHITECT shall promptly submit its termination claim to OWNER and the <br /> parties shall negotiate the termination settlement to be paid ARCHITECT. <br /> If the termination is for the convenience of OWNER, ARCHITECT shall be paid its <br /> negotiated contract close-out costs, including the portion of the contracYs fixed fee, in proportion <br /> to the services performed up to the time of termination, and in accordance with the stipulations <br /> and procedures delineated in Article III. If the termination is for default, any payment due <br /> ARCHITECT, including the fixed fee, will be in accordance with the stipulations and procedures <br /> delineated in Article III. <br /> ARTICLE VII <br /> Miscellaneous Provisions <br /> Ownership of Records <br /> OWNER shall retain ownership of all plans, specifications, and related documents which <br /> were prepared in conjunction with this AGREEMENT. <br /> Titles for Equipmenfi and Materials <br /> Upon receipt of final payment from OWNER for services rendered and materials <br /> procured, ARCHITECT shall convey to OWNER all equipment and materials purchased for this <br /> PROJECT free and clear of all liens, mortgages, encumbrances, financing statements, security <br /> agreements, or claims of any character. <br /> Equal Employment Opaortuniiv <br /> In the event of ARCHITECT'S non-compliance with the provisions of this Equal <br /> Employment Opportunity Clause, the Illinois Human Rights Act or the Rules and Regulations of <br /> the Illinois Department of Human Rights ("DepartmenY'), ARCHITECT may be declared <br /> ineligible for future contracts or subcontracts with the State of Illinois or any of its political <br /> subdivisions or municipal corporations, and the AGREEMENT may be canceled or voided in <br /> whole or in paR, and such other sanctions or penalties may be imposed or remedies invoked as <br /> provided by statute or regulation.
