t � <br /> , � <br /> ARTICLE II <br /> Scope of Work <br /> OWNER and ARCHITECT do hereby agree to the following terms and conditions, which <br /> directly relate to the tasks delineated in the Scope of Work for this AGREEMENT: <br /> 1. That ARCHITECT shall perform such services and accomplish such tasks, <br /> including the furnishing of all equipment, materials, and labor necessary for <br /> full performance thereof, as are identified and designated as ARCHITECT <br /> responsibilities throughout this AGREEMENT, and as detailed in: (i) <br /> OWNER's Request for Proposal for Architectural and Engineering Services <br /> for a Multi-Modal Transportation Center in Decatur, Illinois"; and (ii) any other <br /> documents described in Attachment No. 1 of this AGREEMENT, which is <br /> hereby made a part of this AGREEMENT. Both ARCHITECT and OWNER <br /> agree to the aforementioned purchase of services pursuant to the <br /> Advertisement for Proposals, Scope of Work, Negotiated Award, and <br /> Contractual Provisions, which are attached hereto and made a part of this <br /> AGREEMENT for Architectural/Engineering Services. ARCHITECT also ' <br /> agrees to comply with all terms and conditions prescribed for third party 'i <br /> contracts, which are referred to in the financial assistance agreements <br /> between OWNER and the United States Department of Transportation, and <br /> between OWNER and the Illinois Department of Transportation. <br /> 2. That OWNER will compensate ARCHITECT in accordance with the payment <br /> schedule delineated in Article III of this AGREEMENT. <br /> Contract Amendments <br /> Any proposed amendment to this AGREEMENT (contract) shall be submitted to <br /> OWNER for its prior approval. Approval of each amendment will be transmitted in writing from <br /> OWNER to ARCHITECT. <br /> Assiqnment of ServicesJSub-Contractin_q <br /> ARCHITECT shall not assign its performance of any portion of the specified services <br /> within this AGREEMENT without the advance written consent of OWNER. It is hereby <br /> understood and agreed that said consent must be sought in writing by ARCHITECT not less <br /> than fifteen (15) calendar days prior to the date of any proposed assignment. OWNER reserves <br /> the right to accept or reject, with or without cause, any such assignment. <br /> OWNER hereby accepts EWR & Associates and Vania Engineering, Inc. as sub- <br /> consultants selected by ARCHITECT to participate in the design of the PROJECT. This <br /> acceptance is contingent upon the sub-consultanYs ability to comply with the applicable terms <br /> and conditions, particularly the assurances, contained in this contract. <br /> 2of16 <br />
