18) In the event the City becomes a party to a grant contract with the Federal Transit <br /> ' � Administration, the Operator shall have the obligations and duties of the ' <br /> contractor specified in such provisions. <br /> 19) The Operator sha11 permit the authorized representatives of the U.S. Department , <br /> of Transportation, the Comptroller General of the United States, the Illinois , <br /> Department of Transportation and the City to have the right of access to and I <br /> inspection of all books and records of Operator at any and all reasonable times in <br /> order to verify and ascertai.n operati.ng revenues and expenses incurred in the <br /> � operation and maintenance of the transit system. Such books and records of <br /> Operator at the Decatur Office and the home office of Operator shall be available <br /> at each respective location for inspection by the City or other parties referenced ' <br /> herein. . ' <br /> 20) The Operator shall agree to comply with the provisions of the lllinois Human ' <br /> Rights Commission regarding Equal Employment Opportunities. 'i <br /> 21) The Operator shall cooperate with the project sponsor in meeting its commitments , <br /> and goals with regard to the maximum utilization of Disadvantaged Busi.ness , <br /> Enterprises and will use its best efforts to insure that Disadvantaged Business '� <br /> Enterprises sha11 have the maximum practicable opportunity to compete for 'I <br /> subcontract work under the Agreement with the City. <br /> 22) In the interpretation of the management agreement and in the relationship I <br /> between Contractor and City, the Contractor shall be construed as bein� and is an <br /> independent contractor who shall not be held or deemed, directly or indirectly, i.n <br /> any way to be an agent, joint venturer, employee, instrumentality, or official of <br /> City. <br /> -6- <br />
