,� . <br /> Section 3. Location. Compliance with Ordinances. The specific location of said <br /> privileges shall be as shown on Exhibit "A". Said System shall be installed, maintained and used <br /> in accordance with the ordinances of the City of Decatur, and the directions from time to time <br /> given by the Director of Public Works of the City. City reserves to itself, and McLeodUSA's <br /> rights hereunder are subject to, the right and power of City to impose any law or ordinance of <br /> general application relating to standards for construction on, over, under, or within, use of ar <br /> repair of the public rights-of-way. Within thirty (30) days after receipt by McLeodUSA from the <br /> City of written notice of the adoption of any such law or ordinance, McLeodUSA shall file with <br /> the Director of Public Works its written plan to conform the fiber optic network system installed <br /> under this Agreement to the requirements of such ordinance. Within sixty (60) days after such <br /> effective date, McLeodUSA shall complete all work necessary to conform the fiber optic network <br /> system hereunder to the requirements of such ordinance. <br /> Section 4. Fees. McLeodUSA acknowledges Chapter 71 of the City of Decatur City <br /> Code, (Telecommunications Infrastructure Maintenance Fee), adopted pursuant to P.A. 90-154. <br /> The fees payable thereunder are the only fee or compensation due City for McLeodUSA's rights <br /> hereunder. <br /> Section 5. Transference. Grantee Remains Liable. The privilege granted under this <br /> License Agreement may not be transferred to any other person or entity without the express <br /> written approval of the City; provided, however, that the Grantee may assign the License i <br /> Agreement to a legal entity which is a successor entity or a subsidiary or affiliate of McLeodUSA <br /> Telecommunications Services, Inc., without consent, if prior written notice is given. Such <br /> approval shall not be unreasonably withheld. In the event the privilege herein granted is <br /> terminated or the Grantee transfers title to the System ar vacates or ceases to use the System, the <br />
