Box 10 Aurora, IL 60507 630-844-2151 AGREEMENT 800-245-4776 FOR FAX 630-844-0465 ADMIl�TISTRATIVE SERVICES THIS AGREEMENT, made as of the date written below, by and between The City of Decatur whose address is #1 Gary K. Anderson Plaza, Decatur, Illinois 62523-1196 (hereinafter, "the Employer") and VISTA ADMINISTRATORS, INC., whose address is 444 W. Galena Blvd., Aurora, Illinois 60507(hereinafter, "VISTA") WHEREAS, the Employer wishes to provide a Flexible Spending Program, in accord with the Internal Revenue Act of 1978, Section 125, as then constituted and subsequently amended by the Code, for its Eligible Employees under a Plan to be administered by VISTA;and WHEREAS, the parties wish to set forth the general responsibilities of VISTA and the Employer; and to set forth the financial responsibilities of the Employer for the Flexible Spending program administered by VISTA under this Contract. NOW, THEREFORE,the parties agee as follows: Article 1 Definitions � 1.01 "Contract Year" means the initial Term of this Contract and each Renewal Term. 1.02 "Coverage(s)" means the Health Care Benefits and Dependent Care Benefits described in the Plan Document,which is attached as E�ibit "A". 1.03 "Effective Date" means the date VISTA is first responsible for claims administration and which is stated below. 1.04 "Employees" means Eligible Employees as defined in the Plan Document(Exhibit "A") 1.05 "IBNR Claims" means Employees' claims which were incuned under this contract and which will be adjudicated by VISTA after the expiration of this contract. 1.06 "Plan" means the Flexible Benefit Plan established by the Employer and described in the Plan Document attached to this Agreement. 1.07 "Renewal Date" means the Date January l, twelve (12) months after the e$'ective date of January l, 1999,unless otherwise noted below.
