AGREEMENT Whereas, the Decatur Metropolitan Exposition, Auditorium and Office Building Authority, a unit of local government("Civic Center"), has contracted with Landis & Staefa, Inc., ("Landis") to replace the Heating, Ventilating and Air Conditioning ("HVAC") system at the building owned by it and commonly known as the Decatur Civic Center, #1 Gary K. Anderson Drive, Decatur, Illinois, in the amount of$189,112.00; and, Whereas, the City of Decatur, Illinois, a municipal corporation("City"), is a tenant of said building and is obligated to pay a certain portion of the costs of maintenance therefor, including said HVAC system; and, , Whereas, the City is willing to assist the Civic Center in the financing of the replacement of said HVAC system, as provided herein. NOW, THEREFORE, the City and the Civic Center agree as follows: 1. The City will pay to Landis the sum of $189,112.00, as required by the above-referenced HAVC replacement contract between Landis and the Civic Center, plus the amount of any Change Orders ("Change Orders") authorized by the City and the Civic Center. Said suxn will be paid only in accordance with the express terms and conditions of said contract, and only upon the express written authorization of the General Manager of the Civic Center. In no event shall the City be obligated by the provisions hereof to pay Landis any sum or sums which exceed, in total, $189,112.00, plus the amount of any Change Orders ("Change Orders") authorized by the City and the Civic Center.
