. , AGREEMENT <br /> For and in consideration of the promises, covenants, agreements and conditions <br /> hereinafter set forth to be performed, kept and met by the respective parties hereto, this <br /> Agreement is made by and between THE CITY OF DECATUR, ILLINOIS, a Municipal <br /> Corporation, hereinafter referred to as City, and Ryder/ATE, Inc. authorized to and doing <br /> business in the State of Illinois, hereinafter referred to as ATE and Transit Management of <br /> Decatur, Inc. ("TMD"), an Illinois corporation and a wholly-owned subsidiary of Ryder/ATE, <br /> Inc. as follows: <br /> 1. This Agreement shall become and be effective as of July 1, 1998 and shall continue in <br /> effect until June 30, 1999, or, in any option years as provided herein, until the City or ATE shall <br /> give notice of its intention and desire to terminate the same not less than ninety(90) days prior to <br /> the first day of July in the year in which it is sought to cause said termination. Upon ninety (90) <br /> days prior notice to ATE, the City shall have the option to extend this contract for two (2) <br /> additional one (1) year terms subject to the terms and pricing proposed in ATE's proposal dated <br /> June 5, 1998, and as shown in Section 27 hereof. <br /> 2. Commencing with the first day of the term of this Agreement and continuing through <br /> the duration thereof, ATE agrees to furnish full and complete management and supervisory <br /> services reasonably required for the conduct and operation of public transportation facilities <br /> owned by the City and all appurtenances and additions to said facilities for the purpose of <br /> providing public transportation of persons for hire within the City and areas proximate thereto. <br /> 3. ATE shall fiunish a resident manager and any additional non-resident personnel <br /> reasonably required for the active management and direction of the system on behalf of the City <br /> 1 <br />
