Couter, City Corporation Counsel <br /> SUBJECT: NWTP Repair and Maintenance Agreement with ADM <br /> As the City Council is aware, the City has been negotiating for some time with <br /> Archer-Daniels-Midland Company (AD1V� regarding a possible transfer of the North Water <br /> Treatment Plant (NWTP). Those negotiations have taken longer than anticipated. <br /> There is currently at least one major repair / maintenance project, the Filter Media <br /> Replacement Project, which needs to be completed in the near future. There may be a few <br /> additional projects before the negotiations are completed. <br /> In order not to delay the completion of these projects, ADM has offered to pay for the costs <br /> of these projects which are determined to be mutually beneficial to the City and ADM. The <br /> obvious advantage to both parties is that these important and necessary projects will not be <br /> delayed due to delays in the negotiations process. In fact, ADM will be able to complete these <br /> projects faster than the City could do them. An additional advantage to the City is that we would <br /> not have to pay for the projects at this time. However, if the negotiations to transfer the NWTP <br /> are not successful, then the City will have to reimburse ADM for these costs. We do not see this <br /> as a major disadvantage, since the City would have paid the costs in either case. <br /> Attorneys for the City and ADM have drafted the attached simple agreement to cover this <br /> situation. We believe that it includes provisions to ensure that the City, the NWTP and its <br /> operations are adequately protected during these projects. <br />
