Cardwell is not in violation of any <br /> material term of any mortgage, borrowing agreement or other <br /> instrument or agreement pertaining to indebtedness for borrowed <br /> money. Cardwell is not in violation of any term of any other <br /> indenture, instrument, or agreement to which he is a party or by <br /> which he may be bound, resulting, or which might reasonably be <br /> expected to result, in a material and adverse effect upon his <br /> business or assets. Cardwell is not in violation of any order, <br /> writ, judgment, injunction or decree of any court of competent <br /> jurisdiction or of any statute, rule or regulation of any <br /> competent governmental authority. The execution and delivery of <br /> this Agreement, the Note, the Additional Documents and the other <br /> documents required by this Agreement, and the performance of all <br /> of the same are and will be in compliance with the foregoing and <br />
