rJ '.s <br /> i ' <br /> -13- <br /> operating statement, all in such detail as Decatur may request <br /> together with a certificate of Cardwell, stating that (a) <br /> Cardwell has complied with and is in compliance with all the <br /> terms, covenants and conditions of this Loan Agreement which are <br /> binding upon him, (b) there exists no Event of Default as defined <br /> in this Loan Agreement and no event which with the giving of <br /> notice or lapse of time, or both, would constitute such an Event <br /> of Default, or if this is not the case, that one or more <br /> specified Events of Default have occurred, and (c) the <br /> representations and warranties contained in Article IV of this <br /> Agreement are true with the same effect as though made on the <br /> date of such certificate (Compliance Certificate) ; and (ii) such <br /> additional information, reports or statements as Decatur may from <br /> time to time reasonably request regarding the financial and <br /> business affairs of One Main Place. <br /> 5. 3 Taxes. Promptly pay and discharge all of his taxes, <br /> assessments and other governmental charges (including any charged <br /> or assessed on the issuance of the Note) prior to the date on <br /> which penalties are attached thereto, establish adequate reserves <br /> for the payment of taxes and assessments and make all required <br /> withholding and other tax deposits. <br /> 5.4 Insurance. Ensure that Cardwell (a) keep One Main <br /> Place insured at all times with responsible, insurance carriers <br /> against fire, theft and other risks in coverage, form and amount <br /> satisfactory to Decatur; (b) keep One Main Place adequately <br />
