Convey, sell, transfer, lease, or sell <br /> and lease back all or any substantial portion of One Main Place <br /> assets or business to any other person, firm or corporation <br /> except in the ordinary course of business. Decatur will not <br /> unreasonably withhold consent to any action proposed by Cardwell <br /> under the terms of this paragraph. <br /> 6. 3 Mergers. Merge or consolidate One Main Place <br /> with or into any other firm or corporation without the prior <br /> written consent of Decatur, which consent shall not be <br /> unreasonably withheld provided that the resulting firm or <br /> corporation agrees to assume all obligations of Cardwell under <br /> this Agreement, the Note and the Collateral Documents, and has a <br /> financial condition and business reputation that is equivalent to <br /> or better than Cardwell 's prior to such merger or consolidation. <br /> 6.4 Relocation.
