.'� <br /> r�� <br /> � e <br /> � � 1 <br /> • <br /> -24- <br /> any, or sending notice of any intended, bulks sale; (v) the <br /> institution by or against Cardwell of any other type of <br /> insolvency proceeding (under the Federal Bankruptcy Code, or <br /> otherwise) of any formal or informal proceeding for the <br /> dissolution or liquidation of, settlement of claims against or <br /> windinq up of affairs of Cardwell, and, as to any proceeding <br /> commenced against Cardwell, failure to have such proceeding <br /> discontinued within 30 days of its commencement. <br /> (e) Representations. If any certificate, statement, <br /> representation, warranty or financial statement furnished by or <br /> on behalf of Cardwell pursuant to or in connection with this <br /> Agreement (including, without limitation, representations and <br /> warranties contained herein) or as an inducement to Decatur to <br /> enter into this Agreement or any other lending agreement with <br /> Cardwell shall prove to have been false in any material respect <br /> at the time as of which the facts therein set forth were <br /> certified, or to have omitted any substantial contingent or <br /> unliquidated liability or claim against Cardwell, or if on the <br /> date of the execution of this Agreement there shall have been any <br /> materially adverse change in any of the facts disclosed by any <br /> such statement or certificate, which change shall not have been <br /> disclosed by Cardwell to Decatur at or prior to the time of such <br /> execution. <br /> (f) Other Indebtedness. Nonpayment by Cardwell of any <br /> indebtedness (other than as evidenced by the Note) owing by <br />
