• ^ , /�I��/�/�� AGREEMENT I� For and in consideration of the promises, covenants, agreements and conditions hereinafter set forth to be performed, kept and met by the respective parties hereto, this ' Agreement is made by and between THE CITY OF DECATUR, ILLINOIS, a Municipal Corporation, hereinafter referred to as CITY, and REDWIN, INC. d/b/a MANPOWER, an Illinois Corporation, authorized to and doing business in the City of Decatur, hereinafter referred to as CONTRACTOR, as follows: 1. This Agreement shall become and be effective as of December 3, 1997 and shall continue in effect until December 3, 2000, or until the CITY or CONTRACTOR shall give notice of its intention and desire to terminate or renegotiate the terms of the same not less than ninety (90) days prior to December 3rd in the year in which it is sought to cause said termination or renegotiation. 2. Commencing with the first day of the term of this Agreement and continuing through the duration thereof, the CITY agrees to provide the vehicle, fuel and oil, ' maintenance of vehicle, and vehicle insurance and CONTRACTOR agrees to provide the personnel necessary to operate the Specialized Van Transportation � program, hereinafter referred to as the Program, for those disabled persons who �, axe eligible participants. 3. CONTRACTOR shall provide transportation services adequate to meet the needs of the Program and CONTRACTOR shall operate said Program in accordance with guidelines issued by the City, which shall include, but not be limited to, the following conditions: , A. Program Requirements: ', 1. CONTRACTOR will only transport Program participants who are residents of the City of Decatur, Illinois and whose trip origin and destination are within the City limits. ' 2. Rides shall be scheduled a day in advance to assist in scheduling and dispatching. To ride, all participants will call the dispatcher at ' the Decatur Public Transit System (DPTS) the day before they
