. � � , � • <br /> 14 . Waiver. Failure or delay on the part of DMHC or the <br /> City to exercise any right, power or privilege hereunder shall not <br /> operate as a waiver hereof . <br /> 15 . Prior Negotiations. This contract constitutes the entire <br /> agreement of the parties hereto and shall supersede all prior <br /> offers, negotiations and agreements . <br /> 16 . Assignment. DMHC may assign its rights under this , <br /> Lease for collateral purposes to First of America Bank-Illinois, � � <br /> N.A. , its successors and assigns (the "Bank" ) to secure the <br /> Reimbursement Obligations, as defined in that certain Reimbursement <br /> Agreement dated as of May 1, 1997, between DMHC and the Bank. The <br /> City hereby consents to such an assignment and agrees to (a) give <br /> the Bank notice of DMHC' s default under the Lease and permit the <br /> Bank thirty (30) days to cure; (b) give the Bank notice of DMHC' s <br /> failure to renew any successive term of the lease and permit the I� <br /> Bank thirty (30) days to make such election, provided it, its <br /> successors or assigns are the mortgagee of DMHC; and (b) recognize <br /> the Bank as the Lessee of the parking spaces in the event the Bank <br /> exercises its rights under .the assignment and succeeds to the <br /> rights of DMHC hereunder, in which event the Bank shall become <br /> liable for all of the obligations of the Lessee commencing on the <br /> date the Bank takes possession of the parking spaces . <br /> However, it is expressly understood that in no event <br /> shall the parking spaces leased hereby be assigned to or controlled <br /> by any person, firm or corporation that does not own or lease the <br /> - 7 - <br />
