r• . <br /> -3- <br /> 4 . That the total cost for services contemplated in this <br /> Intergovernmental Agreement shall not exceed $100, 000. 00 <br /> 5. That this Intergovernmental Agreement shall terminate upon <br /> occurrence of the following events: <br /> A. the proportionate shares contributed by each party <br /> toward payment of the cost of this contract has reached <br /> the $100, 000. 00 spending limit; and/or <br /> B. the appraiser and attorney have performed and <br /> concluded all of the duties contemplated by this <br /> Intergovernmental Agreement. <br /> 6. This Intergovernmental Agreement is binding upon the <br /> parties, their successors and assigns. <br /> 7 . If any section, sentence, clause, phrase or portion of <br /> this Intergovernmental Agreement is, for any reason, held to be <br /> invalid or unconstitutional by the decision of any court of <br /> competent jurisdiction,such decision shall not affect the validity <br /> of the remaining portion of this agreement. It is hereby declared <br /> the intent of the parties that this agreement shall remain valid <br /> and enforceable, notwithstanding the invalidity of any part hereof. <br /> 8 . This Intergovernmental Agreement may be amended from time <br /> to time by agreement of all of the parties in writing. <br /> 9 . This Intergovernmental Agreement shall be effective upon <br /> the date the last party has signed it. <br /> l0. That only one original copy of this Intergovernmental <br /> Agreement shall be signed and executed by all parties and that any <br /> photocopies of the executed Intergovernmental Agreement shall be <br /> deemed to be duplicate originals. <br /> 11.
