FI�REAS, it is necessary for the Issuer to execute and ', <br /> deliver an Assignment Agreement to be dated as of May 1, 1996 <br /> (the "Assignment") with First American Dlational Bank, Memphis, ' <br /> Tennessee, as Assignee (the ^Assignee") , pursuant to which, among j <br /> other things, the details of the Bonds are set forth and the Loan <br /> Agreement is assigned to the Assignee; and , <br /> FISEREAS, the Issuer has caused to be prepared and II <br /> presented to this meeting the following documents, which the II <br /> Issuer proposes to enter into: I' <br /> 1. The Loan Agreement by and between the Issuer and _ I <br /> the Borrower; _ I� <br /> 2 . The Assignment by and between the Issuer and the <br /> Assignee, setting forth, among other things, the form of the <br /> Bonds; and <br /> � 3 . The Tax Regulatory Agreement to be dated as of May <br /> 1, 1996 (the "Tax Regulatory Agreement") by and among the Issuer, <br /> the Borrower and the Assignee; and <br /> NOW, THEREEORE, BE IT RESOLVED BY Tf3E CITY COUNCIL OE <br /> THE CITY OE DECATUR, MACON COUNTY, ILLINOIS, AS FOLLOWS: <br /> Section 1_ Issuer pocuments. That the form, terms and <br /> provisions of the proposed Loan Agreement, Assignment and Tax <br /> Regulatory Agreement (collectively, the "Issuer pocuments") shall <br /> be, and they hereby are, in all respects approved, and that the <br /> Mayor and the City Clerk of the Issuer be, and they are hereby <br /> authorized, empowered and directed to execute and deliver the <br /> Issuer pocuments in the name and on behalf of the Issuer, to <br /> cause the Issuer pocuments to be duly executed and delivered; <br /> -3- <br />
