� , <br /> � � <br /> � Exhibit B <br /> SOFTWARE LICENSE AGREEMENT <br /> This License Agreement is between MOTOROLA, INC., a Delaware Corporation, by and through <br /> its Land Mobile Products Sector, having an office at 1301 East Algonquin Road, Schaumburg, <br /> Illinois 60196 ("Motorola")and the licensee named below("Licensee"). <br /> BACKGROUND <br /> Motorola has developed or acquired, or will develop or.acquire Programs (as hereinafter defined). <br /> The Licensee wishes, either now and/or in the future, to obtain the right to use such Programs. <br /> ` Motorola is willing to allow such use, provided the Licensee agrees to observe certain terms and <br /> conditions governing such use. The Licensee is willing to be so bound. <br /> At the time of seeking to obtain rights to any particular Program, Motorola may indicate to the <br /> Licensee that such a Program itself constitutes, or is part of a Motorola Product that is identified <br /> by Motorola as being a Category One, a Category Two, a Category Three, or a Category Four <br /> product or Program. It is also possible that no particular Category will be identified for a particular <br /> product or Program. <br /> Pursuant to this Software License Agreement, the Licensee can obtain a right to use Programs, <br /> with various rights and obligations being set forth herein as specifically applicable to Programs of <br /> different Categories. <br /> NOW, THEREFORE, in consideration of the premises and the mutual covenants hereinafter <br /> expressed, Licensee and Motorola agree as follows: <br /> SECTION 1 -DEFINITIONS <br /> 1.1 "Licensee" shall mean the licensee set forth at the end of this Agreement. <br /> 12 "Licensee's Personnel" shall mean any person who is directly employed by the Licensee. <br /> 1.3 "Motorola Products" shall mean bona fide Motorola products designed, manufactured, acquired <br /> and/or sold by Motorola's Land Mobile Products Sector, as identified in purchase contracts or as <br /> otherwise identified. "Motorola Products" shall not include products that were originally "Motorola <br /> Products," but that have been modified in such a way that the products no longer comply with <br /> Motorola's published specifications for such products as of the time of manufacture of such <br /> products by Motorola. <br /> 1.4 "Embedded" shall mean object code that is resident in an unalterable media, such as, for <br /> example, in a masked microprocessor, ROM, or PROM, or in an alterable media that is not <br /> ordinarily altered during ordinary use of a Motorola Product that includes the alterable media, <br /> such as, for example, EPROM or EEPROM. <br /> 1.5 "Program," "Programs," and "Program(s)" shall all mean Motorola object code that is provided by <br /> Motorola for use in conjunction with Motorola Products or for use within Motorola Products, and <br /> shall include later-provided object code supplements and updates to any item of Motorola object <br /> code. Specifically excluded from this class of software is "Non-Motorola Software," defined in <br /> section 1.7 below. <br /> Contract No. 95-10192/IL 1 11/14/95 <br />
