16. The PLANNING AGENCY agrees that if, because of death or any other occurrence <br /> �� beyond the control of the PLANNING AGENCY, it becomes impossible for any principal <br /> or principals of the PLANNING AGENCY to render the services set forth in the <br /> AGREEMENT, neither the PLANNING AGENCY nor the surviving principals shall be <br /> relieved of their obligations to complete performance thereunder. However, in the <br /> event of such an occurrence, the DEPARTMENT, at its own option, may immediately <br /> terminate the AGREEMENT upon written notice to the PLANNING AGENCY. <br /> 17. The DEPARTMENT reserves the right to terminate this AGREEMENT at any time by <br /> giving the PLANNING AGENCY fifteen (15) days written notice of such termination. In <br /> the event of said termination, the DEPARTMENT shall be liable only for the services <br /> rendered to the date of the termination based upon fees described herein. It is <br /> understood that all completed or partially completed drawings, records, computations, <br /> reports, and other material the PLANNING AGENCY has collected or compiled shall <br /> become the exclusive property of the DEPARTMENT. <br /> 18. The PLANNING AGENCY shall prepare and submit to the DEPARTMENT an annual <br /> completion report, including a narrative on accomplishments for the year and a final <br /> estimate of incurred expenditures, within ninety (90) days after the end of the last <br /> quarter. <br /> 19. The DEPARTMENTs obligations hereunder shall cease immediately without penalty of <br /> further payment being required, in any year for which the General Assembly of the <br /> State of Illinois or federal funding source for services rendered under the AGREEMENT <br /> fails to make an appropriation or reappropriation to pay such obligations and the <br /> DEPARTMENT's obligations hereunder shall cease immediately without penalty of <br /> further payment being required at any time where there are not sufficient authorized <br /> funds lawfully available to the DEPARTMENT to meet such obligations. The <br /> DEPARTMENT shall give PLANNING AGENCY notice of such termination for funding <br /> as soon as practicable after the DEPARTMENT becomes aware of the failure of <br /> funding. <br /> 20. The PLANNING AGENCY shall have the option of submitting monthly or quarterly <br /> invoices for services performed during each such period. Invoices shall be submitted <br /> via this contract for FTA-funded activities. <br /> (a) The PLANNING AGENCY shall be reimbursed for direct labor costs incurred in <br /> fulfilling the terms of this AGREEMENT. <br /> (b) The PLANNING AGENCY shall be reimbursed for direct non-labor costs incurred <br /> in fulfilling the terms of this AGREEMENT such as, but not limited to the <br /> following: <br /> (I) Expenses for travel, meals, and lodging, authorized by the PLANNING <br /> AGENCY shall be reimbursed. Travel expenses in conjunction with travel <br /> essential in fulfilling the terms of this AGREEMENT shall be paid in <br /> accordance with the travel policy of the PLANNING AGENCY. Commuting <br /> travel befinreen office and place of residence is not included. The <br /> PLANNING AGENCY will be required to retain receipts for reimbursement <br /> of travel expenses. The total travel costs chargeable to this contract are <br /> estimated to be $ . <br /> 5 <br />
