R � — �b <br /> RESOLUTION AUTHORIZING SIGNATORY <br /> REPRESENTATIVES FOR FUNDS TRANSFER AGREEMENT <br />� -MAGNA BANK- <br /> BE IT RESOLVED, BY THE CITY COUNCII, OF THE CITY OF DECATUR, <br /> ILLINOIS: <br /> Section 1. That the following officers of the City of Decatur, Illinois, ("Depositor"): <br /> Beth B. Couter, Director of Financial Management Department , <br /> Dawn K. Yuhas, Comptroller '�, <br /> Dan E. Salefski, Accounting Supervisor I <br /> are hereby designated as "Signatory Representatives" and authorized, for and on behalf of <br /> Depositor: (i) to execute and deliver to Magna Bank of Illinois and Magna Group, Inc., <br /> ("Magna")the wire transfer agreement attached hereto, which has been reviewed and approved by <br /> the Council (the "Funds Transfer Agreement"), initially capitalized terms herein having the <br /> meanings given them in the Funds Transfer Agreement; (u) to designate not less than two <br /> Authorized Representatives in accordance with the Funds Transfer Agreement as the sole <br /> representatives of Depositor authorized to transmit and verify wire transfer instruction to Magna; <br /> (iii) to modify, substitute or revoke, in accordance with the Funds Transfer Agreement, the <br /> designation of Authorized Representatives; (iv) to execute and deliver to Magna, in accordance <br /> with the Funds Transfer Agreement, any waiver or special agreement between Depositor and <br /> Magna respecting Customer Callback procedures or additional security measures, including any <br /> such waiver or special agreement between Depositor and Magna respecting Magna's standard of <br /> care or obligating Depositor to indemnity Magna; and (v) to execute and deliver to Magna any <br /> other written agreement or notice respecting the rights and obligations of the parties to the Funds <br /> Transfer Agreement. <br /> Section 2. That Magna shall be entitled to rely on a certificate of the City Clerk regarding <br /> the rights and obligations of the parties to the Funds Transfer Agreement. <br /> Section 3. That this Resolution will continue in full force and effect until Magna shall <br /> receive notice in writing from the City Clerk of the revocation thereof by a resolution duly <br /> adopted by the Council. <br />
