r RESOLUTION NO. R � — �b RESOLUTION AUTHORIZING SIGNATORY REPRESENTATIVES FOR FUNDS TRANSFER AGREEMENT � -MAGNA BANK- BE IT RESOLVED, BY THE CITY COUNCII, OF THE CITY OF DECATUR, ILLINOIS: Section 1. That the following officers of the City of Decatur, Illinois, ("Depositor"): Beth B. Couter, Director of Financial Management Department , Dawn K. Yuhas, Comptroller '�, Dan E. Salefski, Accounting Supervisor I are hereby designated as "Signatory Representatives" and authorized, for and on behalf of Depositor: (i) to execute and deliver to Magna Bank of Illinois and Magna Group, Inc., ("Magna")the wire transfer agreement attached hereto, which has been reviewed and approved by the Council (the "Funds Transfer Agreement"), initially capitalized terms herein having the meanings given them in the Funds Transfer Agreement; (u) to designate not less than two Authorized Representatives in accordance with the Funds Transfer Agreement as the sole representatives of Depositor authorized to transmit and verify wire transfer instruction to Magna; (iii) to modify, substitute or revoke, in accordance with the Funds Transfer Agreement, the designation of Authorized Representatives; (iv) to execute and deliver to Magna, in accordance with the Funds Transfer Agreement, any waiver or special agreement between Depositor and Magna respecting Customer Callback procedures or additional security measures, including any such waiver or special agreement between Depositor and Magna respecting Magna's standard of care or obligating Depositor to indemnity Magna; and (v) to execute and deliver to Magna any other written agreement or notice respecting the rights and obligations of the parties to the Funds Transfer Agreement. Section 2. That Magna shall be entitled to rely on a certificate of the City Clerk regarding the rights and obligations of the parties to the Funds Transfer Agreement. Section 3. That this Resolution will continue in full force and effect until Magna shall receive notice in writing from the City Clerk of the revocation thereof by a resolution duly adopted by the Council.
