Hold Harmles� <br /> The Subrecipient shall hold harmless, defend and indemaify <br /> the City fT-om any and all claim, actions, suits , charges and <br /> judgments khatsoever that arise out of the Subrecipient perfor- <br /> mance or nenperfo�ance of the servicea or subject matter called <br /> for in this Agreement. <br /> D. Worker' s Compensation <br /> The S•,:brecipient shall provide workers ' compeasation ia- <br /> surance .for all employees involved in -the perfo�aace of this <br /> contract. <br /> E. Insurance and Bondinr� <br /> The Subrecipient shall carry sufficient insurance coverage ` <br /> to protect coatract assets from loss due to theft, fraud and/or <br /> undue physical da.mage. Although the City pays out oa a reim- <br /> bursement, exception can be made under special circumstances . <br /> IInder those circumstances, and as a minimum, the Subrecipient <br /> shall purchase a blanket fidelity bond covering all employees in <br /> a�. amount equal to cash advances from the City. <br /> The Subrecipient shall comply with the bonding and insurance <br /> requiremeats of Attachment B of OMB Circular A-110, Bonding and <br /> � Iasurance. <br /> F. Grantor Recogaition . . , <br /> The Subrecipient shall insure recogaition of the role of the <br /> grantor agency in providing services through this contract. All <br /> activities, facilities and items utilized pursuaat to this coa- <br /> tract shall be prominently la.beled as to fuading source. Ia ad- <br /> d�tion, the Subrecipient will include a refereace to the support <br /> provided herein in all publications made possible with funds made <br /> available under this contract.. <br /> G. Amendments <br /> The City or Subrecipient may amend this Agreement at any <br /> time provided that such amendments make specific reference to <br /> this Agreement, and are executed in writing, signed by a duly <br /> authorized representative of both organizations, and approved by <br /> the City Council . Such amendments shall aot invalidate this <br /> Agreement, nor relieve or release the City or the Subrecipient <br /> from its obligations under this Agreement. <br /> � The City may, in its discretion, amend this Agreement to <br /> conform with federal, state or local governmental guidelines, <br /> policies and available funding amounts, or for other reasons . If <br /> s,:ch amendments resu'_ �. in a change in the funding, the scope of <br /> 4 <br />
