c. In its use and occupancy of the City's Property, Vulcan will observe <br /> such standards of operation and conduct as are (i) requisite to avoid conditions which may <br /> be hazardous to employees of the City or to third parties and (ii) requisite to prevent the <br /> release of air, soil and surface and subsurface water contaminants or matter which is, or may <br /> be, hazardous or offensive to employees of the City or to third parties. <br /> d. In its use and occupancy of the City's Property,Vulcan will comply with <br /> all applicable laws, and will not create any condition which would be subject to redress or <br /> corrective action under the same. <br /> e. Vulcan will comply with all applicable worker's compensation statutes <br /> and be responsible for ensuring that all subcontractors comply therewith. Vulcan's worker's <br /> compensation insurance shall contain a waiver of subrogation against the City. Vulcan shall <br /> also maintain with insurers satisfactory to the City during the term of this agreement: <br /> (i) Employer's Liability Insurance in the amount of$200,000 <br /> per occurrence. This insurance shall also contain a waiver of subrogation <br /> against the City. <br /> (ii) Comprehensive Automobile Public Liability Insurance <br /> covering all owned, nonowned and hired vehicles with combined single limits <br /> of not less than $1,000,000. <br /> (iii) Comprehensive General Liability Insurance covering <br /> Vulcan's operations on the City's Property with combined single limits of not <br /> less than $1,000,000. <br /> Vulcan will rovide the Ci with certificates evidencin the re uired covera e, <br /> P <br /> �Y g q g <br /> including a confirmation that the policies include a specific contractual liability endorsement <br /> with respect to this proposal. Such certificate or certificates shall also contain a statement <br /> by the insurer that it will give the certificate holder written notice at least ten(10) days prior <br /> to any cancellation, or material alteration, change or endorsement, of any of the insurance <br /> required. <br /> 7. This proposal is conditioned upon and subject to all of the following: <br /> a. The City's fulfillment of its obligations set forth in the proposal; <br /> b. Vulcan's fulfillment of its obligations set forth in the proposal; <br /> c. Approval of the proposed transaction provided for in Paragraph 4 <br /> hereof by the Board of Directors of Vulcan; <br /> 3 <br />
