. � � ' . <br />' 2. Services by DEPARTMENT. The DEPARTMENT shall assist the CITY <br /> in securing data and source materials necessary to the effective <br /> accomplishment of the transportatio� planning process. <br /> 3. R�,�ponsibilities of the CITY. <br /> A. The CITY, or an approved subcontractor, shall perform and <br /> carry out, in a satisfactory and proper manner, as determined <br /> by the DEPARTMENT, the services specified by this Agreement <br /> and in Appendix I, which is attached hereto and made a part of <br /> this Agreement. As full payment for completing the work <br /> agreed to herein (except for additional work or extra work) , <br /> the PLANNING AGENCY shall receive reimbursement for actual <br /> costs to the extent they are eligible and in compliance with <br /> cost principles found in Title 48, Code of Federal Regulations <br /> Subpart 31 . <br /> B. The CITY represents that it has, or will secure, all personnel <br /> required in performing the services under this Agreement. In <br /> the event that the CITY is unable to secure the required <br /> personnel to perform the services under this Agreement, the <br /> DEPARTMENT agrees that portions of the services covered by <br /> this Agreement could be subcontracted to another <br /> agency/agencies or individual sub�ect to the requirements of <br /> Paragraph 16 of this Agreement. All personnel engaged in the <br /> work shall be fully qualified and shall be authorized or <br /> permitted under state and local law to perform such services. <br /> C. The CITY, upon request of the DEPARTMENT, shall furnish to the <br /> DEPARTMENT copies of all pertinent data, mathematical models <br /> and programs, forecasts, estimates of cost and computations, <br /> � computer program source and object decks, and documentation in <br /> the form of reports generated within the framework of this <br /> study. <br /> D. The CITY shall comply with the Nondiscrimination Provisions as <br /> described in Appendix II, which is attached hereto and made a � <br /> part of this Agreement.. <br /> E. The CITY shall comply with Minority Business Enterprises <br /> policy as described in Appendix III, which �s attached hereto <br /> and made part of this Agreement. <br /> F. The CITY shall comply with Certification Statement Regarding � <br /> Debarment, Suspension and Other Responsibility Matters as <br /> described in Appendix IV, which is attached hereto and made <br /> part of this Agreement. <br /> G. The CITY shall provide the DEPARTMENT with a Line Item Budget <br /> for the CITY's total program, such budget to be separated into <br /> � total direct costs and indirect costs. The Line Item Budget <br /> shall cover the term of this Agreement and shall be identified <br /> as Appendix VI of this Agreement. <br /> H. The CITY shalt expeditiously and to the best of its ability <br /> pursue the work with the ob�ective of completing all the work <br /> within the allotted time. <br /> -2- <br />
