FISCAL MANAGEMENT. The �nivereity shall maintain complete <br /> and accurate accouating records in accordance with accepted <br /> accounting practices for institutione of hiqher education. These <br /> records shall be available for inspection, review, and sudit at <br /> reaeonable times �by the Sponsor, or its duly authorized <br /> representative, at Spoasor' a expense, for three (3 ) years I <br /> followiag the 'end of the IInivereity• s fiscal year (July 1-June � <br /> 30) in which such costs are incurred. <br /> The funds provided by the Sponsor shall be applied to the <br /> direct and indirect costs of this investigation. Indirect coste <br /> shall be aeeeBBed at the applicable rate(s) in effect at the time <br /> direct costs are incurred. <br /> Title to equipment and all other items purchased with funds <br /> provided by the Sponaor shall be titled to and remain with the <br /> University. <br /> 11. WARRANTIES. The Univereity makes no repreaentatione or <br /> warranties, expreesed or implied, reqardinq its performance under <br /> this Agreement, iacluding but not. limited to, the marketability, <br /> uae or fitaess for any particular purgose of the reaearch results <br /> developed under this work. Further, it is underetood University <br /> ahall not be liable for epecial, consequential, or incidental <br /> damagea , ae a result of Sponeor' s use of the final technical <br /> report and the results contained thereia provided by the <br /> University. <br /> Sponsor agreee to release the University and ite employees <br /> and agents from, and aqrees to be responsible for, any and all <br /> costs, damages, and expenaes, includinq attorney' s fees, arising <br /> from any claims, damagee, and liabilitiee asaerted by third <br /> parties which is not due to the negligence of University arising <br /> from Sponsor' s use of said results . <br /> � <br />
